HOW TO PARTICIPATE |

| 1.1 |
Sponsor: The sponsor of this contest is Suncor Energy Inc. (the “Contest Sponsor”).
|
| 1.2 |
Eligibility: The Petro-Points™ 2011 Swipe ‘n Win Contest (“Contest”) is open to all residents of Canada who are Petro-Points Members, except employees of, a member of the immediate family of an employee of, or retiree of, or domiciled with an employee of Contest Sponsor or any of its affiliated companies, franchisees, agents, associates, dealers, representatives, or advertising and promotional agencies (“Eligible Entrants”).

Contest Period and Entry: Starting at 12:00 a.m., Mountain Time, May 10, 2011 to 23:59 p.m., Mountain Time, June 20, 2011, every time an Eligible Entrant purchases: Petro-Points Eligible Products or Services - a minimum purchase that earns at least one (1) Petro-Point on Petro-Points-eligible Petro-Canada products or services (tobacco products, gift certificates and taxes on non-fuel items are not eligible for Petro-Points) at any participating Petro-Canada station in Canada, the Eligible Entrant automatically qualifies for one (1) entry into the Contest.
To qualify and be eligible, Eligible Entrants must present their Petro-Points Membership Card or use a Petro-Points registered Petro-Canada Personal Credit Card, Citi™1 Petro-Points MasterCard®1, or Petro-Points linked Sears Credit Card at the time of the purchase transaction.

Contest Entry Restrictions: Equivalent of a maximum of one (1) entry per qualifying purchase. No purchase is necessary (See Rule 3.16).

Awarding of Prizes: Subject to the Rules and Regulations of the Contest, all Prizes, including the Grand Prize, will be awarded to the Eligible Entrant whose name and address appears on Petro-Canada’s Petro-Points database for the Petro-Points Membership Card, or for the Petro-Points Membership Card that the Petro-Canada Personal Credit Card, Citi Petro-Points MasterCard or other Linked Payment Card has been registered against, that was used on the potentially winning purchase transaction or Mail-In entry. This awarding is irrespective of the name appearing on the credit card or direct payment debit card that may have been used as the form of payment for the potentially winning purchase transaction.
Purchase transactions for Eligible Entrants who have been issued Petro-Points Membership Cards without a name on the Card are eligible to enter the CONTEST, with the Eligible Entrant whose name and address for such Membership Card appears on Petro-Canada’s Petro-Points database being the person eligible to win a prize.
Potential winners of one of the 182,503 Petro-Points Instant Points Prizes will be notified by a message on their computerized purchase transaction receipt (except for Pay at the Pump purchases - see Section 3). If the purchase transaction receipt reveals one of the Petro-Points Prizes detailed below, the Eligible Entrant will be eligible to win that Prize (See Rule 2.3 and 2.4 for information on how to claim the Prize).

PRIZES
|
| 2.1 |
Prizes: In total, up to a maximum of 182,504 Prizes will be available to be awarded through the CONTEST, as follows:
- One (1) Grand Prize of Free Gas For A Year (See Rule 2.2); and
- One hundred and eighty-two thousand and five hundred and three (182,503) Petro-Points Instant Points Prizes (“Instant Points Prizes”) consisting of (See Rule 2.3):
- 163,001 instant prizes of 2,000 Petro-Points (redeemable for $1 of Gas);
- 11,001 instant prizes of 8,500 Petro-Points (redeemable for one (1) 2.5 ¢ per litre Fuel Savings Rewards Card); and
- 8,501 instant prizes of 15,000 Petro-Points (redeemable for one (1) 5 ¢ per litre Fuel Savings Rewards Card).

| 2.2 |
Grand Prize: There will be one (1) Grand Prize awarded by a random computer generated draw (See Rules 2.6 and 2.7), such Grand Prize to be a one-time credit of $3,000 to a Petro-Canada payment vehicle, as determined by Contest Sponsor, including, but not limited to, a Petro-Canada Pre-Paid Card. The value of the Grand Prize is based on an average annual gasoline purchase amount of one (1) x forty (40) litre fill up per week at one dollar and 44 cents ($1.44) per litre multiplied by fifty-two (52) weeks, to total $3,000.00.
The Prize must be accepted as awarded. No cash alternatives, substitution or transfers of the Grand Prize will be allowed. The Grand Prize winner shall not be entitled to convert the credit for gasoline into cash.

Petro-Points Instant Points Prizes: The following points amounts will be awarded instantly via a random computer generated selection:
- 2,000 Petro-Points redeemable for $1 of Gas
- 8,500 Petro-Points redeemable for one (1) x 2.5 ¢ per litre Fuel Savings Reward Card
- 15,000 Petro-Points redeemable for one (1) x 5 ¢ per litre Fuel Savings Reward Card
After the selected Eligible Entrant has correctly answered, unaided, an arithmetical, skill-testing question they will be declared an Instant Points Prize Winner. Winners of an Instant Points Prize will automatically have the Petro-Points added to the Eligible Entrant’s account point balance, and will be immediately available for Petro-Points Reward redemption or Points Exchanges, subject to the terms and conditions of the Petro-Points program, including the Rewards Redemption Schedule. An Instant Points Prize cannot be substituted, transferred, redeemed for cash or used as a credit against any outstanding Petro-Canada Credit Card or work order balance.
Winners of an Instant Points Prize must claim their Prize at a participating Petro-Canada station.

Unclaimed Petro-Points Instant Award Prizes: All Eligible Entrants who have been selected as potential winners of an Instant Points Prize (i.e., 2,000 or 8,500 or 15,000 Points Prizes), including, but not limited to, via Pay at the Pump, or at a Petro-Canada station that requires pre-payment, and have not answered the skill-testing question in order to claim their Prize, will continue to receive unclaimed Prize notification messages on future Petro-Points purchase transaction receipts, until 23:59 p.m., Mountain Time, Aug. 2, 2011. After this date, all unclaimed Prizes will be null and void.

Odds: The odds of being randomly selected for a potentially winning purchase transaction are:
- Grand Prize — Free Gas For A Year: 1 in 14,584,321, based on estimated total eligible entries of 14,584,321 (estimation of 14,584,321 eligible Petro-Points purchases, plus eligible Mail-in and Manual Purchase entries for the Grand Prize completed during the forty-two (42) day period of the Contest). The actual odds of being selected depend on the actual number of eligible entries received.
- 2,000 Petro-Points Points Prizes: On eligible Petro-Points purchases = 1 in 89; based on 14,584,321 estimated total eligible Petro-Points purchase transaction entries completed during the forty-two (42) day period of the Contest.
- 8,500 Petro-Points Points Prizes: On eligible Petro-Points purchases = 1 in 1,326; based on 14,584,321 estimated total eligible Petro-Points purchase transaction entries completed during the forty-two (42) day period of the Contest.
- 15,000 Petro-Points Points Prizes: On eligible Petro-Points purchases = 1 in 1,715; based on 14,584,321 estimated total eligible Petro-Points purchase transaction entries completed during the forty-two (42) day period of the Contest.
If the actual number of eligible purchase transactions is less than the estimated number of eligible purchase transactions, or if the computerized system does not award all prizes, Petro-Canada will be entitled to not award the maximum number of prizes. The actual number of potentially winning purchase transactions issued will vary depending upon the actual number of eligible purchase transactions and eligible Mail-In entries, and the established Contest odds.

| 2.5.1 |
“Winners every minute”. Calculation is based on:
- A forty-two (42) day campaign which equals 60,480 minutes
(1,440 minutes per day X 42 days).
- 182,503 Instant Points Prizes divided by 60,480 minutes equals 3.0176 prizes per minute.

| 2.6 |
Grand Prize Draw: A draw for the Grand Prize will be made by a random computer-generated selection on Thursday June 30, 2011, at noon, or soon thereafter, in Mississauga, Ontario, from all eligible entries registered during the Contest Period (“Prize Draw”). The selected entrant will be contacted by email, telephone or mail. At least three (3) attempts to contact the selected entrant by email, phone or mail will be made within the fourteen (14) days following the Prize Draw. If Contest Sponsor is unable to contact the selected entrant within fourteen (14) days following the Prize Draw, another entrant will be randomly selected and the initial selected entrant will be disqualified, his/her right to the Grand Prize will be forfeited and that selected entrant will have no further recourse towards Contest Sponsor or anyone involved in the Contest.

| 2.7 |
In order to win the Grand Prize, the selected entrant must first correctly answer a time limited, arithmetical, skill-testing question to be administered by telephone or email, and he or she will be required to sign and return a standard Declaration and Release form confirming compliance with the Contest Rules and Regulations, the Eligibility Requirements, if applicable, acceptance of the Grand Prize as awarded and releasing Contest Sponsor from all liability. Subject to Rule 2.2, no substitution for, or transfer of the Grand Prize, will be allowed. The selected entrant will have seven (7) days to return the Declaration and Release form upon receipt. If the selected entrant does not do so, another entrant will be randomly selected and the initial selected entrant will be disqualified, his/her right to the prize will be forfeited and that selected entrant will have no further recourse towards Contest Sponsor or anyone involved in the Contest.

GENERAL RULES

| 3.1 |
All Prize claims are subject to verification by Contest Sponsor and/or their designated representatives. Entries made with multiple addresses, under multiple identities, through the use of any device or artifice to enter multiple times or entries that are in excess of the permitted number of entries for the Contest Period are automatically void. All purchase transaction receipts obtained through unauthorized sources or which are illegible, mutilated, altered, reproduced, forged or irregular in any way, are automatically void. Contest Sponsor will be the sole and final reference source in validating Prize claims.

| 3.2 |
If a dispute arises regarding who submitted an entry, the entry will be deemed to be submitted by the primary Petro-Points Member as identified in the Petro-Points database as provided at time of entry.

| 3.3 |
Should an error or any defect (mechanical, electronic or otherwise) occur during the time of the Contest, resulting in the number of potentially winning purchase transactions exceeding the number of Prizes available in a Prize category during the Contest, the organizers reserve the right to suspend the awarding of the Prizes, wholly or partially, without prior notice. At that time, if Prizes to be awarded in that Prize category have not yet all been awarded, then the remaining Prizes will be awarded by random draw amongst all those who have claimed those Prizes after the date of suspension (as decided by Contest Sponsor) until the limit date (23:59 p.m., Mountain Time, Aug. 2, 2011), at which time the unclaimed Prizes become null and void. There is no limit on the number of Prizes which a Member can be awarded, except in the case of a system error or defect which selects winning purchase transactions contrary to the established odds. If, in so doing, an Eligible Entrant is awarded more than one (1) Prize, any Prize(s) that would be awarded to the Eligible Entrant, due to system error or defect, will be returned to the Prize pool(s), to be awarded as detailed above.

| 3.4 |
Purchase transactions where payment is made at a participating Petro-Canada Pay at the Pump gas pump, or via manual purchase transaction (in the event the system is down) or at a Petro-Canada station that requires pre-payment, are eligible transactions in the Contest. However, Eligible Entrants whose purchase transaction is selected as a potentially winning purchase transaction will not be notified while they are at that station; an attempt will be made to notify the potential winner on a future purchase transaction receipt for Instant Points Prize. The potential winner is then required to claim the Prize as per Rule 2.3 and 2.4.

| 3.5 |
Purchase transactions where payment is made at a participating Petro-Canada via manual purchase transaction (in the event the system is down) are not automatically eligible transactions in the Contest. Petro-Points Members may submit the transaction as a Manual Purchase entry into the contest, for the Grand Prize only, by sending the original (not mechanically reproduced) register receipt to:

Entries must be postmarked on or after May 10, 2011 and no later than June 20, 2011. Limit of one (1) entry per purchase transaction. Multiple entries submitted for one purchase transaction and all purchase transaction receipts obtained through unauthorized sources or which are illegible, mutilated, altered, reproduced, forged or irregular in any way, are automatically void. All Manual Purchase entries will bear the same odds as other methods of entry. Potential mail-in winners will be notified on how to claim their prize (See Rule 2.6 and Rule 2.7 for related details).

| 3.6 |
In the event that the computerized system is unable to fully process the purchase transaction while the Eligible Entrant is at the participating Petro-Canada station (due to system problems, or an inability to read one of the Eligible Entrant’s cards, or a pay at the pump purchase), the purchase transaction will still be eligible to participate in the Contest. The purchase transaction will be subsequently processed through the Contest computer system; if the purchase transaction is a potentially winning purchase transaction, an attempt will be made to notify the potential winner on a future purchase transaction receipt for Instant Points Prizes. The potential winner is then required to claim the Prize as per Rule 2.3 and Rule 2.4. Contest Sponsor assumes no responsibility for lost, stolen, delayed, damaged or misdirected claims or for any failure, or for any problems or technical malfunction of any telephone network or lines, or computer system during the promotional period.

| 3.7 |
By participating, each Eligible Entrant and the winner agrees:
(a) to be bound by these Rules and Regulations, and the decisions of Contest Sponsor, (b) to the collection and use of his/her personal information by Contest Sponsor for the purpose of administering the Contest, (c) to release and hold harmless Contest Sponsor, their affiliates, subsidiaries, and independent contractors, and their respective directors, officers, employees, agents and representatives including advertising and promotion agencies, from any and all liability for any claims/damages whatsoever with respect to acceptance, possession or use or misuse of the Prize or participation in the Contest, (d) to permit Contest Sponsor to use his/her name, address, city, province, of residence, photograph, video, or likeness for advertising or publicity purposes without any additional compensation, and (e) to sign a Declaration and Release Form to this effect.

| 3.8 |
The decisions of Contest Sponsor in relation to this Contest will be final and binding on all Contest entrants.
|
| 3.9 |
Contest Sponsor shall not be responsible for incorrect or inaccurate transcription or registration of Contest entry information, technical malfunctions, lost, delayed, incomplete, interrupted, misdirected, stolen, illegible, or deleted data/network transmissions, line failures of any telecommunication network, failure of computer equipment, software, inability to access any online service or web site, inability to submit the registration form or any other malfunction or human or technical error, or any injury or damage to entrant’s or any other person’s computer related to or resulting from participation or downloading any materials in this Contest, or for late, lost, stolen, postage due, illegible or misdirected entries.

| 3.10 |
Contest Sponsor reserve its right to cancel, terminate, or suspend this Contest, at its sole discretion, in the event of a technical failure, computer virus or bug, unauthorized human intervention, fraud or any other occurrence or cause beyond its control that corrupts or adversely affects the administration, security, fairness or normal operation of the Contest, subject, in Quebec, to the approval of the Régie des alcools, des courses et des jeux.

| 3.11 |
If a selected entrant is awarded a Prize due to a system error, malfunction or defect or human error the Prize will be returned to the Prize pool, to be re-awarded.
|
| 3.12 |
Under no circumstances will Contest Sponsor, or its directors, officers, employees, and agents, including advertising and promotion agencies be required to award more Prize(s) than indicated in these Rules and Regulations or award the Prize other than in accordance with these Rules and Regulations.
|
| 3.13 |
The Contest is subject to all Federal, Provincial and local laws, as well as the rules adopted in view of said laws. For participants outside Québec: All issues and questions concerning the construction, validity interpretation and enforceability of the Rules or the rights and obligations as between the entrant and Contest Sponsor in connection with the Contest shall be governed by and construed in accordance with the laws of the province of Ontario without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other jurisdiction’s laws.

| 3.14 |
For Quebec residents: any litigation respecting the conduct or organization of a publicity contest may be submitted to the Régie des alcools, des courses et des jeux for a ruling. Any litigation respecting the awarding of a prize may be submitted to the Régie only for the purpose of helping the parties reach a settlement.
|
| 3.15 |
In the event that a minor person in his or her province of residence claims a Prize, an adult parent, or legal guardian, shall accept the Prize in his or her name and sign any required document to such effect.
|
| 3.16 |
No purchase is necessary.
Members may submit an entry for the Contest and be eligible to win the Grand Prize only:
- by sending by mail a hand-written, original (not mechanically reproduced), distinctly worded, 25-word or more description of why the entrant likes Petro-Points, which must include the Eligible Entrant’s Petro-Points Membership number, and a self-addressed, stamped envelope to: Petro-Canada 2011 SWIPE ‘N WIN CONTEST, 2489 North Sheridan Way, Mississauga, Ontario, L5K 1A8. Entries must be postmarked on or after May 10, 2011 and no later than June 20, 2011. Limit of one (1) entry per envelope with sufficient postage. All mail-in entries will bear the same odds as regular Petro-Points Eligible purchase transactions. Potential mail-in winners will be notified on how to claim their prize (See rules 2.6 and 2.7 for related details).
